DownKit License Terms

These terms cover DownKit's five-download trial, US$19.99 one-time perpetual license, three-device activation limit, updates, permitted use, and final-sale policy.
1. Agreement and eligibility
These DownKit License Terms govern the DownKit desktop application, its free allowance, one-time purchase, license key, downloads, and updates supplied by Nunuworks, Inc. They are version 2026-08-03.
By downloading or using DownKit, starting Stripe Checkout, requesting immediate delivery of a digital entitlement, or activating a license key, you agree to these Terms and the DownKit Privacy Policy. Non-waivable rights under applicable law continue to apply.
DownKit is intended for adults and people legally able to enter this agreement. If you purchase for work, you confirm that you are authorized to do so.
2. Free use
DownKit may be downloaded and tried without an account, email address, payment card, or reduced-quality mode. Free mode includes the first 5 output files that complete successfully on an installation.
Analysis, previews, cancelled jobs, failed jobs, rejected sources, and incomplete temporary files do not use the allowance. Reinstalling, deleting protected state, altering the app, or manipulating local data to reset or evade the allowance is not permitted.
3. One-time purchase
The advertised license price is US$19.99 before applicable tax. The app opens a Nunuworks-controlled Stripe Checkout Session in the system browser. The desktop app never receives full card details.
A browser success page is not proof of payment. Nunuworks fulfills only after its server verifies paid status, the exact DownKit product and price, and an authentic Stripe event or authoritative Checkout Session.
All sales are final, except where applicable law or the payment processor requires a refund or other remedy.
4. Perpetual license and device limit
After verified payment, Nunuworks emails one DownKit license key. One purchase grants the purchaser a limited, non-exclusive, non-transferable license to use DownKit for personal or commercial work on up to 3 of the purchaser's own or primarily used active devices at a time.
The key does not expire. Initial activation and deactivation use the Nunuworks licensing service. After activation, the app verifies a device-bound signed entitlement locally and does not require recurring account login or periodic license-server checks.
The purchaser must keep the key private and may not share, sell, publish, sublicense, rent, or use it to provide unrelated people with pooled device access. A device should be deactivated before its seat is moved.
5. Updates
Nunuworks will keep improving DownKit and send updates whenever possible. No particular feature, release date, maintenance period, or future operating-system compatibility is promised.
There is no separately paid major-upgrade path promised for this license. Any DownKit update Nunuworks publicly releases for this license is included at no additional software-license charge, but availability, compatibility, features, and support may change.
6. Supported use and permissions
DownKit identifies accessible media from supported public HTTP or HTTPS links. It does not promise every website, link, format, quality, or file, and source websites can change without notice.
You may download only media you own, created, are licensed to use, or otherwise have lawful permission to download. You are responsible for copyright, privacy, publicity, contractual, and other rights that apply to the media.
- Do not use DownKit to bypass DRM, paywalls, authentication, access controls, encryption, or technical protection measures.
- Do not use DownKit to violate law, another person's rights, a source service's enforceable terms, or network security.
- Do not reverse engineer or alter DownKit except to the limited extent applicable law expressly permits despite this restriction.
7. Local files and backups
Core media analysis and processing run on the user's Mac. Source sites and networks may still receive ordinary requests required to access a user-requested link. Nunuworks does not operate a cloud media downloader for DownKit.
You are responsible for reviewing output, maintaining backups, choosing a safe destination, keeping sufficient storage available, and not treating DownKit as the only copy of important media.
8. Email delivery and recovery
Stripe's receipt and Nunuworks' license email are separate messages. The purchaser is responsible for supplying an email address they can access and checking spam or filtered folders.
An eligible purchaser may request the same key again from the DownKit recovery page. Recovery responses are deliberately generic so the page does not reveal whether an email address has purchased DownKit.
9. Ownership and third-party components
Nunuworks and its licensors retain ownership of DownKit, its interface, trademarks, documentation, update system, and license-signing system. These Terms grant a use license and do not sell the software or intellectual property.
DownKit includes open-source and redistributable components governed by their own notices and license terms. Those notices are supplied with the package where required and are not overridden by these Terms.
10. Availability and warranty limits
Public availability, supported operating systems, architectures, sources, installers, updates, and support channels may change. DownKit is not a guaranteed archival, legal, medical, safety, forensic, or regulatory tool.
To the fullest extent permitted by law, DownKit, its website, downloads, and updates are provided on an “as is” and “as available” basis. Nunuworks disclaims implied warranties to the extent they may lawfully be disclaimed, including merchantability, fitness for a particular purpose, title, non-infringement, error-free operation, and compatibility.
11. Liability limits
To the fullest extent permitted by law, Nunuworks and its directors, officers, employees, contractors, and providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost files, data, profits, revenue, goodwill, business opportunity, or use arising from DownKit.
To the fullest extent permitted by law, Nunuworks' aggregate liability arising from DownKit or these Terms is limited to the amount paid for the DownKit license giving rise to the claim. Nothing excludes liability or remedies that applicable law does not allow the parties to exclude or limit.
12. Termination, law, and contact
The license continues unless the purchaser violates these Terms, receives a full refund, reverses payment, loses a charge dispute, or applicable law otherwise ends it. On termination, licensed use must stop and the entitlement must be removed from active devices.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without displacing mandatory consumer protections. Courts located in Vancouver, British Columbia have jurisdiction where an exclusive forum is lawfully permitted.
